We take privacy seriously and we want you to understand how we gather, use, share and protect your privacy and your rights and choices about your privacy when accessing or using the Diligence File website and any Services. So, before using the Site or any Service (both defined below), please read this Privacy Policy carefully. There is a link to this Privacy Policy at the bottom of each page of the Diligence File website.

As used in this Privacy Policy “KFP”, “us”, “we”, or “our”, refers to KFP and “you”, or “yours” refers to you as the user or viewer of any Service or Services.  Other terms are defined in the body of this Privacy Policy. Capitalized terms not defined in this Privacy Policy have the meaning set forth in the Terms of Use Agreement (“Terms of Use”) 

  1. Overview

Ownership & Services – The Diligence File website, www.diligencefile.com, (the “Site”) is owned and operated by Knowledge For Professionals Inc., a New York corporation (“KFP”). KFP offers content, services and products on or through the Site (including the Site all collectively referred to as the “Service” or “Services”). 

Personal Information – KFP collects, uses and is responsible for certain personal information about you. Currently, KFP does not have any advertising, sponsorships or affiliate marketing associations or programs in place but it does use services and software provided by third parties to establish, run and maintain the Site and Services. 

This Policy – This Privacy Policy provides information about how we collect, use, store and share this personal information and about the third-party software and service providers that we believe are relevant for purposes of this policy.  Where applicable we provide you with the link to third party privacy policies. Please read these third-party privacy policies as KFP does not have any control over their policies and is not responsible for their policies. If you are not comfortable with these third-party privacy polices please do not use the Services, including the Site, or submit any personal information to us. 

  1. Acceptance of Terms

By visiting the Site or accessing any Services, you are agreeing that the terms of: (i) this Privacy Policy, (ii) the Cookie Policy and (iii) the Terms of Use, govern your use of the Site and any Services. If you provide us with information offline, you are also agreeing to the terms of this Privacy Policy. 

If, for any reason, you do not agree to be bound by this Privacy Policy, the Cookie Policy or the Terms of Use please do not access or use any Services, including the Site and please do not provide us with any personal information.

  1. Children’s Personal Information

The Site and Services are not designed for or directed at children. We do not knowingly gather person information (as defined by the U.S. Children’s Privacy Act (COPPA)) from or about children under 13 years of age and use of our services by children under the age of 13 is forbidden. If KFP learns or is notified that it has information or content from anyone under the age of 13 it will endeavor to remove such information from its files. 

  1. We Do Not Collect Sensitive Personal Information 

We do not collect sensitive personal information and we do not want you to provide us with any sensitive personal information.  Sensitive personal information includes: social security number, racial or ethnic origins, sexual orientation, political opinions, religious or other beliefs, health, biometric or genetic information, trade union memberships, criminal charges, convictions or other criminal background information.

  1. Information That We Collect

We collect and use information that is: (a) provided to us by you or a designated third party, on a voluntary basis and (b) information that is collected automatically through the use of technology.

Information Provided by You on a Voluntary Basis 

When you voluntarily sign up for e-mails, free gifts, register for a class or presentation, leave comments, fill out a survey, enter a contest or sweepstakes, order a Service, fill out any type of form, access private membership pages, or otherwise contact KFP via an online contact form, Tell Us form or any other e-mail to us, you are providing KPF with personal information which, depending on the type of contact, or Service, may include, name, e-mail, address, phone number, billing information and personal preferences.  KFP may collect and use and is responsible for this personal information. 

Please note that you are not required to provide any of these types of personally identifiable information to merely access or visit the Site. 

Information Collected Automatically Through the Use of Technology 

This is information that is either sent to us automatically by your browser or collected anonymously through the use of technology, including but not limited to Google Analytics (see explanation below), cookies and other similar methods.  This information includes, without limitation the: 

  • Internet domain through which you access the Internet;
  • Internet Protocol address of the computer you are using;
  • Type of browser software and operating system you are using;
  • Date and time, you access the Site; 
  • Internet address of the site from which you linked directly to our site; and
  • Which pages you view, the files you request, time spent on the page and Site.


In addition, KFP or its third-party vendors may collect non-personal information through the use of these technologies such as the areas you visit and search terms you use on the Site and about the links you may select from within the Site to other areas of the Internet.

KFP may also use “cookies” (small files saved on your hard drive by your web browser) to analyze website performance, track user patterns, save information from your previous visits and customize your experience.  

On the homepage of the Site we will ask you to allow us to use cookies.  Please see the Cookie Policy for a more detailed description of how we use cookies and how you can control or limit the use of cookies when you visit the Site or use Services. 

  1. How Your Personal Information is Used

KFP collects such information in order to send e-mails, fulfill orders, market and deliver services and products, complete customer transactions, billing, oversee contests, surveys, promotions, and improve website performance and customer service. 

KFP may, with your consent use personal identification information for internal or external marketing and promotional purposes or for any other purpose you that you give consent.

  1. How We Share Personal Information

KFP respects your privacy and without your consent will not sell, trade or transfer your personally identifiable information to third parties beyond what is necessary for fulfilling a customer transaction, for the functionality of the Site or a Service or for dealing with legal, compliance or security related issues.

The circumstances in which we share or may need to share personal information are as follows: 

Third Party Servicers and Agents – We share your information with our agents and service providers that perform certain functions or services on our behalf, such as to host the Site or Services, manage databases, host a store or other e-commerce platform, perform analyses, conduct surveys, or send communications and newsletters for us. 

Two specific third party services that we use are:

Google Analytics – a web analysis service of Google Inc, to evaluate your use of the Site and Services and to compile reports on activity, collect demographic data, analyze performance metrics, and collect and evaluate other information relating to the Services and mobile and Internet usage. 

Google Analytics uses cookies and other technologies to help analyze and provide the data. Google’s ability to use and share information collected by Google Analytics about your visits to this site is addressed by the Google Analytics Terms of Use  and the Google Privacy Policy.  We do not combine the information collected through the use of Google Analytics with personally identifiable information. By accessing the Site and using the Services you consent to the processing of data about you by this analytic provider in the manner and for the purposes set out in this Privacy Policy. 

Mailchimp for Email & Marketing – a marketing platform that is owned and operated by The Rocket Science Group LLC.  Mailchimp performs processing activities for KFP including the collection (e.g., via sign-up forms) and storage of user’s personal data in our Mailchimp account in order to allow us to create and use distribution lists, send update and marketing emails and provide materials that you have specifically requested in response to any of our offers. 

This also means that there is a transfer of personal data to certain Mailchimp sub-processors who, perform some critical services, such as helping Mailchimp prevent abuse and providing support to its customers. Please review Mailchimp’s privacy policy that governs their collection, use of data and privacy.  This policy addresses Mailchimp’s policies including as it relates to its customer, KFP’s contacts, (you are KFP’s contacts).

By sending communication to us you consent to the collection, storage and processing of data about you by this marketing platform in the manner and for the purposes set out in this Privacy Policy. 

These third-party recipients are or may be based outside the European Economic Area or the UK, for further information see Section 13 on International Transfer.

For Legal, Safety and other Required Purposes – We will disclose your information to outside entities in order to protect the legal rights, safety, and security of KFP, the Site and the users of our Services, enforce our Terms of Use or any other terms or conditions that apply to the Site or a Service, prevent fraud, for risk management purposes, and comply with or respond to law enforcement or legal process or a request for cooperation by a government or other entity, whether or not legally required.

Relating to a Transfer of Assets – If we sell all or part of our business, or make a sale or transfer of assets, or are otherwise involved in a merger or business transfer, or in the event of bankruptcy, we may transfer your information to one or more third parties as part of that transaction.

With Your Consent – We share information about you when you consent to such sharing, including when you post information to a user profile or any public area of the Site or Services, such as a chat room, forum, blog, or other community tool.

Aggregate Information – We disclose to third parties information that does not describe or identify individual users, such as aggregate website usage data or demographic reports.

  1. How Long Do We Keep Personal Information

We store your personal information for as long as needed or permitted based on the reason we obtained it and consistent with applicable law. To decide how long to store personal information we consider, (i) the type of relationship and length of the relationship that we have with you and (ii) our legal obligations and rights under applicable laws, regulations, contracts and when applicable, disputes.  

  1. Security

We have commercially reasonable security measures in place to prevent personal information from being accidentally lost, used or accessed in an unauthorized way. We limit access to your personal information to those who have a genuine business need to know it. To the best our knowledge, those processing your information will do so only in an authorized manner and may be subject to a duty of confidentiality.

We also have procedures in place to deal with any suspected data security breach. We will notify you and any applicable authorities of a suspected data security breach where we are legally required to do so.

It is important to understand that no security measures are absolute. We cannot guarantee the safety of any information you provide to us.

  1. General Data Protection Regulation GDPR

The following applies to individuals in the European Economic Area (“EEA”) and the UK.

Controller – Knowledge For Professionals Inc. is the controller for personal information covered by this Privacy Policy for purposes of the General Data Protection Regulation and the UK General Data Protection Regulation (collectively called “GDPR”).

Legal Basis for Processing  – KFP collects, uses or share information about you when we have a valid reason. This is called “lawful basis.” Specifically, this is one or more of the following:

  • Consent that you provide to us at the point of collection of your information.
  • Performance of any contract we have with you to supply a Service.
  • Compliance of a legal obligation to which we are subject.
  • The legitimate interests of KFP or a third party. “Legitimate interest” is a defined term under international laws, including the GDPR. It means that there are good reasons for the processing of your personal information, and that we take measures to minimize the impact on your privacy rights and interests. “Legitimate interest” also refers to our use of your data in ways you would reasonably expect and that have a minimal privacy impact. We have a legitimate interest in gathering and processing personal information, for example: (1) to ensure that our networks and information are secure; (2) to administer and conduct our business; (3) to prevent fraud; and (4) to conduct our marketing activities.

  1. Your Rights

Unsubscribing – If you want to unsubscribe from receiving emails from the Diligence File or KFP, you may do so at any time. Each email from the Diligence File or KFP includes instructions for unsubscribing from these email communications. 

GDPR – If you are covered by the General Data Protection Regulation, or other relevant privacy regulations, you have certain rights. In summary, those include rights to:

  • Fair processing of information and transparency over how we use your use personal information.
  • Access to your personal information and to certain other supplementary information that this Privacy Policy is already designed to address.
  • Require us to correct any mistakes in your information which we hold.
  • Require the erasure of personal information concerning you in certain situations.
  • Receive the personal information concerning you which you have provided to us, in a structured, commonly used and machine-readable format and have the right to transmit those data to a third party in certain situations.
  • Object at any time to processing of personal information concerning you for direct marketing.
  • Object to decisions being taken by automated means which produce legal effects concerning you or similarly significantly affect you.
  • Object in certain other situations to our continued processing of your personal information.
  • Otherwise restrict our processing of your personal information in certain circumstances.

If you would like to exercise any of these rights, so that we can process the request please:

  • provide us enough information to identify you for example, first and last name, company name, account number, user name, registration details, and
  • if we so require, provide us with proof of your identity and address, and 
  • provide us with the information to which your request relates, including any account or reference numbers, if you have them.

We will respond to your request in a manner consistent with applicable law. 

  1. California Residents – Do Not Track Disclosures

KFP does not recognize or honor “Do Not Track” settings or signals or similar behavioral advertising opt outs. 

  1. International Transfers

KFP is a company that is incorporated, located and doing business in the United States. The Site and offered Services are operated in the United States and third parties with whom we might share your personal information, as explained above, are located in the United States. 

If you are located in the EEA, the UK, or elsewhere outside of the United States, please be aware that any information you provide will be transferred to the United States. By using this website, participating in any of its services and/or providing your information, you consent to this transfer. 

Privacy laws in in the locations where we handle your personal information may not be as protective as the privacy laws in your home country. 

  1. Third Party Services & Websites

The Services, including the Site, may contain links and references to other websites, resources, content and services operated by various third parties. These are not an endorsement of, or representation that we are affiliated with, any third party. We have no control over third party websites, content or services. When you go to a third-party website or use any service offered by them you should check their applicable privacy policies and terms of use. Any personal information that you provide to them is not covered by this Privacy Policy. KFP is not responsible for or liable for any content or actions taken by any third party.

  1. Changes to Privacy Policy

Please check this Privacy Policy on an ongoing basis as we reserve the right to change this Privacy Policy in our sole and absolute discretion at any time and without notice to you. Changes to this Privacy Policy are effective immediately when posted. The date of the last revision will be indicated by the “Effective Date” at the top of this page.  Your continued use of the Site or a Service after any such changes constitutes your agreement to continue to comply with and be bound by this Privacy Policy, as changed.
